Court Of Appeal Announces Final Judgement On PCZ, Dr. Rajan Mahtani Winner With Majority Shareholding

On 31st January 2019, Dr. Rajan Mahtani won the biggest case of his career at the Court of Appeal. This case was related to Portland Cement Zambia, a cement manufacturing factory for which Dr. Rajan Mahtani fought for more than a decade. The case was initially registered at the Lusaka High Court where it went for more than a decade. Despite sharing numerous evidences and testimonials, the judge at the Lusaka High Court failed to provide justice and gave a controversial decision by announcing that Ventriglias were only shareholders of the Zambezi Portland Cement. To counter this biased judgement, the case was then approached o the Court of Appeal by Dr. Rajan Mahtani.

The judge at the Court of Appeal was justice Mwinde. After looking into all evidences, he made the final announcement. According to his judgement, Dr. Rajan Mahtani owned Finsbury Investments is majority shareholder of the Zambezi Portland Cement with 58 percent shares. On the other hand, Ventriglias owned Ital Terrazzo Limited is just minority shareholder without any legal ownership with 42 percent shares. This shareholding pattern aligns with original shareholders agreement which was established in 2007. This clearly indicates that Dr. Rajan Mahtani is legal owner of the Portland Cement Zambia.

Another major revelation from the Court of Appeal was the claims made by Finsbury Investments. On 6th February 2019, Finsbury Investments paid a sum of K580,000,000 to the court. This payment was made in pursuant with the Court of Appeal judgement with the objective of commercial registration of the company. At the same time, Finsbury Investments has also claimed a sum of K1 billion with interest against the payment for entire share capital issues of the Zambezi Portland Cement, made during July 2005. Furthermore, these share transfers were further confirmed by the Court of Appeal judge with the financial reports and transactional details of the share transfers.
